FOR INSPIRATION AND RECOGNITION OF SCIENCE AND TECHNOLOGY

Software: Driver Station

SOFTWARE LICENSE AGREEMENT

IMPORTANT - READ CAREFULLY

THIS SOFTWARE IS LICENSED, NOT SOLD, AND AVAILABLE FOR USE ONLY UNDER THE TERMS OF THIS SOFTWARE LICENSE AGREEMENT.

THIS IS A LEGAL AND BINDING AGREEMENT BETWEEN YOU, THE END USER, (“YOU”), AND FOR INSPIRATION AND RECOGNITION OF SCIENCE AND TECHNOLOGY (“FIRST”). BY INSTALLING AND/OR USING THE SOFTWARE YOU ACCEPT AND AGREE TO THIS SOFTWARE LICENSE AGREEMENT.

  1. Definitions. As used herein, the term “Software” means the object code version of FIRST’s Driver Station provided with this license agreement, and all supporting documentation. “Software” does not refer to source code, and no license is granted with respect to source code.

  2. License Grant. FIRST grants to you a royalty-free, non-exclusive, non-transferable license to install and use the Software solely in accordance with the terms of this license agreement.

  3. Copyright; Copies. FIRST retains the copyright and all other rights in the Software. You may make one or two copies of the Software for back-up purposes, and reasonable copies for offline distribution at FIRST® Events.

  4. Limited Distribution. You may not distribute the Software or otherwise make the Software available for use by others. As an exception to this, you may distribute the Software in an offline capacity to other users at FIRST® Events.

  5. Use. You may use the Software only for FIRST® related activities, including but not limited to: (i) controlling FIRST® Robotics Competition and FIRST® Tech Challenge Robots and robot controllers, (ii) testing FIRST® control systems and derivatives, and (iii) controlling simulation copies of the FIRST® Robotics Competition or FIRST® Tech Challenge Robot Controller software and development tools.

  6. New Releases and Maintenance. FIRST has no obligation to provide any support, maintenance, or new releases, enhancements, or updates of the Software.

  7. Disclaimer of Warranties. FIRST MAKES NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY REPRESENTATION OR WARRANTY AS TO THE SOFTWARE’S MERCHANTABILITY, FITNESS FOR ANY INTENDED USE, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS. FIRST SPECIFICALLY DOES NOT WARRANT THAT THE SOFTWARE IS FREE FROM DEFECTS. Some states or jurisdictions do not allow the exclusion of implied warranties or limitations on how long an implied warranty may last, so the above limitations may not apply to you. To the extent permissible, any implied warranties are limited to ninety (90) days.

  8. Limitation of Liability. IN NO EVENT WILL FIRST HAVE ANY LIABILITY FOR ANY INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY RELATED TO THE SOFTWARE OR YOUR USE OF THE SOFTWARE. Some States or jurisdictions do not allow the exclusion or limitation of incidental, consequential or special damages so the above exclusions and limitations my not apply to you.

  9. Export. You understand that the Software is subject to export control laws and regulations. YOU MAY NOT EXPORT THE SOFTWARE EXCEPT IN FULL COMPLIANCE WITH ALL UNITED STATES AND OTHER APPLICABLE LAWS AND REGULATIONS.

  10. General. This license agreement is the full and complete understanding of the parties as to the subject matter hereof and may not be modified except by written amendment which expressly refers to this license agreement and which is signed by both parties. This license agreement shall be governed in accordance with the laws of the State of New Hampshire. If any part of this license agreement is found void and unenforceable, it will not affect the validity of the balance of the license agreement, which shall remain valid and enforceable according to its terms.
